By clicking “I agree to the”, you (“Technician Participant”), an independent subcontractor agree to the following terms with Beepz, a company registered in California, having its offices at 5029 Narragansett Ave, San Diego, CA 92107.
1. Scope of Work
The Technician shall perform the installation, testing, and documentation of Beepz security devices in vehicles as instructed by Beepz, including:
1. Picking up a package at the Beepz hub containing:
Three (3) Beepz devices (including wired and unwired units)

REG 51 document
-
Prefilled Report of Sale (ROS)
-
One (1) empty envelope with prefilled address
-
Beepz keychain
- Beepz plate holder
-
Beepz car scent with logo
2. Installing all
three (3) devices in the designated vehicle.
3. Testing all devices:
-
Confirming all devices appear on Beepz’s live map.
-
Testing the kill switch (ON and OFF).
-
Confirming all signals are operational.
4. Completing delivery tasks:
-
Affixing REG 51 to the windshield with tape.
-
Placing the Beepz keychain, plate holder, and scent inside the vehicle.
-
Remitting the envelope and signed ROS to Beepz.
5. Providing basic guidance to the vehicle seller regarding Beepz processes (as instructed).
2. Confidentiality & NDA
2.1 Strict Confidentiality
The Technician agrees to keep all information about Beepz devices strictly confidential, including but not limited to:

The location of any device installed in the vehicle (especially the unwired device).

Technical specifications, wiring diagrams, or operational methods.
-
Any Beepz or My Cali Lot proprietary processes.
Technician
shall not disclose such information to
anyone, including the vehicle seller, except as explicitly authorized in writing by Beepz.
2.2 Permanent Obligation
This confidentiality obligation applies
during and after
the term of this Agreement, without expiration.
2.3 Liquidated Damages
Any breach of this confidentiality clause will result in immediate liability for
liquidated damages of
$250,000 to $5,000,000 depending on the severity and impact of the breach, in addition to any other remedies available at law or equity.
3. Independent Contractor Status
The Technician is an
independent subcontractor
, not an employee, partner, or agent of Beepz or My Cali Lot.
The Technician is responsible for all taxes, insurance, permits, and tools necessary for the work.
4. Payment Terms
The Technician will only be paid if:

All devices are installed correctly.

The kill switch is tested successfully (ON and OFF).
-
All required documents and items are returned.
Payment will be processed within
3 business days after verification in the Beepz portal.
5. Hold Harmless
Technician agrees to indemnify and hold harmless Beepz and My Cali Lot, their owners, employees, and agents, from any and all claims, damages, liabilities, losses, costs, or expenses (including attorney’s fees) arising out of or related to:

The Technician’s work, conduct, or omissions.

Breach of this Agreement.

Improper installation or testing.
6. Return of Property
Upon completion of the work or termination of this Agreement, the Technician shall return all Beepz property, documents, devices, and materials in their possession.
7. Termination
Beepz may terminate this Agreement at any time, with or without cause, effective immediately upon notice.
8. Governing Law
This Agreement is governed by and construed under the laws of the State of California.
9. Entire Agreement
This Agreement contains the entire understanding of the parties and supersedes any prior agreements, oral or written, related to the subject matter.
